Articles of Association

The Copenhagen Headliner Support Association

§1 Name and Registered Office

The name of the organisation is The Copenhagen Headliner Support Association.
The Association is domiciled in the Municipality of Copenhagen, Denmark.

§2 Purpose and Non-Profit Status

The Association is established as an independent, non-profit organisation.

Its purpose is to support, promote, and strengthen the Copenhagen Headliner Film Festival and related cultural and artistic activities of public interest.

In furtherance of its purpose, the Association may:

  • Provide grants for specific cultural activities

  • Support project development and implementation

  • Cover operational or programme-related expenses

  • Conduct fundraising activities and receive donations

  • Apply for and administer public and private grants

All funds and assets of the Association shall be applied solely toward its non-profit objectives.

§3 Independence and Non-Distribution Constraint

The Association operates independently and autonomously.

No part of the Association’s income, surplus, or assets may be distributed to members, board members, founders, or other private individuals.

The Association does not pursue commercial profit.

§4 Membership

Membership is open to any individual of legal age who supports the purpose of the Association and pays the annual membership fee.

The annual fee is determined by the General Assembly.

Members bear no personal liability for the obligations of the Association.

§5 General Assembly

The General Assembly is the supreme governing body of the Association.

An Annual General Assembly shall be held once per year before the end of April.

The agenda shall include at minimum:

  • Election of chair of the meeting

  • Report of the Board

  • Presentation and approval of the annual accounts

  • Determination of membership fee

  • Election of Board members

  • Any other business

Decisions are adopted by simple majority unless otherwise required by law.

§6 Board of Directors

The Association shall be governed by a Board consisting of a minimum of two (2) and a maximum of five (5) members.

Board members are elected for one-year terms and may be re-elected.

The Board shall appoint a Chair and may appoint a Treasurer.

§7 Representation

The Association shall be legally represented by the Chair acting alone or by two Board members acting jointly.

§8 Financial Year and Accounts

The financial year follows the calendar year.

The Board shall prepare annual financial statements to be approved by the General Assembly.

An internal auditor may be appointed if decided by the General Assembly.

§9 Fundraising and Compliance

The Association may conduct fundraising activities and receive donations in accordance with applicable Danish legislation.

All funds raised shall be applied exclusively to the stated purpose.

§10 Dissolution

The Association may only be dissolved by a two-thirds majority at two consecutive General Assemblies.

Upon dissolution, the remaining assets shall be transferred to non-profit cultural purposes consistent with §2.

No assets may be distributed to members or Board members.
